ABACUS advises on $300,000 investment in Deepen

Deepen has raised $300,000 from angel investors in a bridge round that values the start-up at $6 million.

Deepen is an AI-enabled wellness platform for fitness clubs. It operates in Uzbekistan and is now expanding into international markets.

ABACUS advised on every stage of the transaction, from structuring and documentation through to the closing of the round. We continue to advise Deepen as the business grows.

How the deal was structured

The investment took the form of equity financing under an investment agreement and the company’s constitutional documents. The legal structure called for careful design and accurate documentation of every term.

What our advice delivered

  • The investors gained a transparent, legally robust structure for their entry into the business.
  • The founders retained the level of corporate control over the company that they required.
  • The transaction closed on the agreed timetable.

A bridge round is an interim round of investment that funds a company through to its next major stage.
